1. Definitions

In these Terms and Conditions:

  • "Neuravine," "we," "us," or "our" refers to Neuravine, a business registered in Thailand.
  • "Client," "you," or "your" refers to the individual or organization engaging our services.
  • "Services" refers to AI integration consulting, diagnostic assessments, implementation services, and related professional services provided by Neuravine.
  • "Agreement" refers to the contract formed between Neuravine and the Client for specific services.
  • "Deliverables" refers to reports, documentation, systems, or other outputs specified in service agreements.
  • "Website" refers to https://neeuraviinekj and associated digital properties.

2. Acceptance of Terms

By accessing our website, contacting us for information, or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or website. These terms constitute a legally binding agreement between you and Neuravine.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. By accepting these terms, you represent and warrant that you meet these requirements.

3. Services Description

Neuravine provides professional consulting services focused on artificial intelligence integration for organizations. Our services include but are not limited to:

  • AI readiness diagnostic assessments for small and medium enterprises
  • Development and implementation of AI-powered financial intelligence systems
  • Enterprise AI operating model design and governance frameworks
  • Technical advisory and strategic consulting on AI adoption
  • Knowledge transfer and training services

Specific service details, scope, deliverables, timelines, and fees are defined in individual service agreements or statements of work executed between Neuravine and the Client.

4. Service Engagement Process

Service engagements typically follow this process:

  1. Initial consultation to understand client requirements and assess fit
  2. Proposal development outlining scope, approach, timeline, and investment
  3. Execution of formal service agreement or statement of work
  4. Project kickoff and delivery according to agreed timeline
  5. Deliverable review and acceptance
  6. Post-engagement support as specified in agreement

5. Client Responsibilities

To enable successful service delivery, clients agree to:

  • Provide timely access to relevant information, systems, and personnel
  • Designate appropriate internal stakeholders and decision-makers
  • Respond to requests for information within agreed timeframes
  • Maintain necessary infrastructure and system access
  • Comply with agreed project schedules and milestone reviews
  • Provide feedback and approval on deliverables in timely manner
  • Ensure proper use of deliverables and implementation of recommendations

Failure to fulfill these responsibilities may impact project timelines and outcomes. Neuravine is not liable for delays or suboptimal results caused by client inability to meet agreed responsibilities.

6. Payment Terms

Unless otherwise specified in the service agreement:

  • Fees are stated in Thai Baht (THB)
  • Payment is due within 14 days of invoice date
  • Late payments may incur interest charges at the rate of 1.5% per month
  • Neuravine reserves the right to suspend services for non-payment
  • Clients are responsible for any bank transfer fees or currency conversion charges

All fees are exclusive of applicable taxes unless stated otherwise. Clients are responsible for any value-added tax (VAT), withholding tax, or other taxes as required by Thai law.

7. Intellectual Property Rights

Neuravine IP

Neuravine retains all rights to pre-existing intellectual property, methodologies, frameworks, tools, and know-how used in delivering services. Clients receive a limited, non-exclusive license to use deliverables for their internal business purposes only.

Client IP

Clients retain all rights to their proprietary information, data, and business processes. Neuravine will not use client confidential information beyond the scope necessary to deliver agreed services.

Deliverable Ownership

Upon full payment, clients receive ownership of specific deliverables created exclusively for them as defined in the service agreement, subject to Neuravine's retained rights in underlying methodologies and tools.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information disclosed during the engagement. This obligation includes:

  • Not disclosing confidential information to third parties without consent
  • Using confidential information only for agreed purposes
  • Implementing appropriate safeguards to protect confidential information
  • Returning or destroying confidential information upon request or engagement completion

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Warranties and Disclaimers

Our Warranties

Neuravine warrants that services will be performed with reasonable skill and care consistent with professional standards in the AI consulting industry.

Disclaimers

Except as expressly stated:

  • Services are provided "as is" without warranties of any kind
  • We do not warrant specific results, outcomes, or performance improvements
  • AI and machine learning systems have inherent limitations and uncertainties
  • Implementation success depends on factors beyond our control
  • We disclaim any warranties regarding third-party systems or services

Our services provide professional advice and recommendations. Implementation decisions and results remain the client's responsibility.

10. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We are not liable for indirect, consequential, special, or punitive damages including lost profits, business interruption, or data loss
  • We are not liable for damages arising from client's use or implementation of recommendations
  • We are not liable for third-party actions or failures

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under Thai law.

11. Indemnification

Clients agree to indemnify and hold Neuravine harmless from claims, damages, or expenses arising from: client's breach of these terms, misuse of deliverables, violation of third-party rights, or failure to comply with applicable laws in implementing our recommendations.

12. Termination

Termination by Either Party

Either party may terminate an engagement with 30 days written notice. Upon termination:

  • Client remains obligated to pay for services performed through termination date
  • Neuravine will provide deliverables completed to that point
  • Both parties will return or destroy confidential information as appropriate

Immediate Termination

Either party may terminate immediately for material breach by the other party, provided written notice and opportunity to cure within 14 days, except for payment defaults which may result in immediate suspension of services.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. The courts of Bangkok shall have exclusive jurisdiction over any disputes arising from these terms or our services.

Before initiating legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. If negotiation fails within 30 days, either party may pursue legal remedies.

14. General Provisions

Entire Agreement

These terms, together with specific service agreements, constitute the entire agreement between parties and supersede all prior communications.

Amendments

We may update these terms periodically. Continued use of services after changes constitutes acceptance. Material changes will be communicated to active clients.

Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

Clients may not assign rights or obligations under these terms without our prior written consent. We may assign our rights and obligations with notice to the client.
